1. Introduction
Welcome to Microverse Labs LLC ("Microverse Labs," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access and use of our websites microverselabs.com, findcara.com, and cara.microverselabs.com, and any related applications, software, tools, and services (collectively, the "Services").
By accessing or using our Services, you agree to these Terms. If you are using our Services on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use our Services.
2. Early Access & Beta Features
Certain features of our Services may be designated as "early access," "beta," "pre-release," or "preview" (collectively, "Beta Features"). Beta Features are provided for testing and feedback purposes and may be incomplete, contain bugs, or change significantly before general availability.
By using Beta Features, you acknowledge that:
- Beta Features are provided "as is" without warranty of any kind.
- Beta Features may be modified, suspended, or discontinued at any time without notice.
- We may use your feedback, usage data, and experience with Beta Features to improve the Services, without any obligation or compensation to you.
- Beta Features may have additional usage limitations not applicable to generally available features.
3. Changes to Terms
We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting. Continued use of the Services after any updates means you accept the revised Terms. If you do not agree, you must stop using the Services.
4. Access & Use of Services
4.1 License & Restrictions
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in compliance with these Terms.
You must not:
- Copy, modify, or create derivative works of the Services.
- Reverse engineer, disassemble, or attempt to extract the source code.
- Rent, lease, sell, sublicense, or distribute the Services.
- Use the Services for unauthorized advertising, spam, or any illegal activity.
- Interfere with or disrupt the Services' functionality.
- Engage in abusive, harmful, or excessive usage that may negatively impact the Services or other users.
- Use our Services through AI platforms in ways that violate the AI platform's terms of service.
- Attempt to export or bulk-download vehicle data through AI platform conversations.
- Use AI platforms to systematically collect or aggregate vehicle listing information.
4.2 Usage Monitoring & Throttling
We monitor usage patterns to ensure fair use and security. We reserve the right to:
- Track usage metrics, activity logs, and interaction patterns.
- Rate-limit or throttle access for users engaging in excessive or abusive behavior.
- Suspend or terminate access if we determine that a user is violating these Terms or engaging in harmful activities.
Abusive behavior includes, but is not limited to: automated scraping, denial-of-service attacks, spam, and attempts to circumvent security measures.
5. User Accounts & Authentication
5.1 Account Creation
To access certain features, you may need to create an account. We use Auth0 as our authentication provider. Auth0 currently supports Google sign-in and may support additional sign-in methods (such as Apple, email/password, etc.) in the future. When you sign in, we receive and store your email address, name, and (if provided) profile picture.
You agree to:
- Provide accurate and up-to-date information.
- Keep your login credentials secure.
- Notify us immediately of unauthorized access.
- Maintain the security of the underlying identity account (e.g., your Google account) used to sign in to our Services.
We are not responsible for unauthorized use of your account.
5.2 Termination of Accounts
We may suspend or terminate accounts for violations of these Terms, illegal activity, or security risks.
6. Payments & Fees
Some Services may require fees or subscriptions. By using paid features, you agree to:
- Pay all applicable charges on time.
- Provide valid payment details.
6.1 Service Tiers
Cara offers (or plans to offer) tiered access to its Services. Not all tiers may be active at any given time; availability and pricing are disclosed within the product:
- Free Tier (Scout): Provides access to core features at no charge. Usage limits may apply, and we reserve the right to modify usage limits with reasonable notice. No payment information is required to use the free tier.
- Subscription Tier (Agent): Provides expanded access on a recurring billing basis (currently weekly). Subscriptions auto-renew at the end of each billing period unless canceled. Subscriptions include allotted credits for AI-assisted features; specific credit allotments and rollover behavior are described at the time of subscription.
- Per-Engagement Tier (Handler): Provides Cara's full assistance for a single specified vehicle for a one-time fee. The fee is fully disclosed before purchase. Additional charges apply only if you authorize a new engagement.
- Concierge Service: Available as an add-on or standalone engagement, the concierge service provides human-assisted dealer outreach, negotiation support, and purchase facilitation on your behalf. The concierge service is currently in pre-release and may be offered on an invitation or volunteer basis. Pricing and availability are disclosed before you opt in to any concierge engagement.
6.2 Concierge Service Terms
The concierge service is currently designated as a Beta Feature under Section 2 of these Terms. By opting into Cara's concierge service, you acknowledge and agree to the following:
- Authorization to Act on Your Behalf: You authorize Cara to contact dealerships, request pricing and availability information, and negotiate terms on your behalf using the vehicle preferences and personal information you provide.
- Human-in-the-Loop: The concierge service may involve human team members and/or AI-assisted tools working on your behalf. We will disclose to dealers that we are acting as your representative.
- Scope of Sharing: We will only share your personal information with dealers or partners that you select or approve. Information shared is limited to what is necessary to facilitate your vehicle inquiry or purchase.
- No Binding Commitments: Cara does not enter into purchase agreements, financing contracts, or other binding commitments on your behalf. All final purchasing decisions and agreements are between you and the dealer or seller.
- Not a Party to the Transaction: Cara acts solely as an intermediary and advisor. We are not a dealer, broker, lender, or party to any vehicle transaction. We are not responsible for the condition, history, pricing accuracy, or any other aspect of any vehicle you may purchase with Cara's assistance.
- Opt-Out: You may discontinue the concierge service at any time by notifying us at team@microverselabs.com.
6.3 Subscription & Cancellation
- You may cancel any subscription at any time through your account settings or by contacting us at team@microverselabs.com.
- Cancellation takes effect at the end of the current paid period (no proration of partial periods).
- We offer a 7-day money-back guarantee for first-time paid subscribers. After the 7-day period, fees are non-refundable except as required by applicable law.
6.4 Pricing, Currency, and Taxes
- All prices are listed in U.S. dollars (USD) unless otherwise specified.
- Applicable sales tax, VAT, GST, or other taxes are calculated and charged based on your jurisdiction at the time of purchase.
- Payments are processed by third-party payment processors (such as Stripe). Your payment information is handled in accordance with the processor's terms and privacy policy and is not stored directly on our systems.
We reserve the right to modify pricing, billing intervals, and payment terms with reasonable notice to active subscribers.
7. Intellectual Property
All intellectual property in the Services—including software, logos, trademarks, and content—is owned or licensed by Microverse Labs. You do not acquire any ownership through your use of the Services.
You may not:
- Use our trademarks, logos, or branding without prior written permission.
- Copy, reproduce, or redistribute content beyond permitted personal use.
- Scrape, data-mine, or systematically extract data from our Services by any automated or manual means.
- Use any robot, spider, crawler, or other automated device to access the Services for any purpose without our prior written consent.
- Frame, mirror, or create derivative works based on the Services or their content.
We reserve the right to take legal action for intellectual property violations.
8. Privacy, Communications & Confidentiality
8.1 Privacy Policy
Our Privacy Policy explains how we handle personal data. By using our Services, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.
8.2 Communications Consent
By creating an account and using our Services, you expressly consent to receive communications from us, including:
- Operational emails: Account notifications, security alerts, and critical service updates.
- Product updates: Feature announcements, improvements, and new offerings.
- Feedback requests: Surveys, user research invitations, and product improvement requests.
- Marketing communications: Promotional offers, newsletters, and product information (you may opt out of these).
You may opt out of non-essential marketing emails but cannot opt out of operational communications while maintaining an active account.
8.3 Confidentiality
You agree:
- Not to disclose confidential information you access through the Services.
- To follow all applicable data protection laws.
We take reasonable security measures, but we do not guarantee that our Services are completely secure from cyber threats.
9. Acceptable Use Policy
You must not use our Services for:
- Fraud, hacking, or malicious activity.
- Sending spam, phishing, or misleading messages.
- Violating any local, state, or federal laws.
- Collecting data from users without their consent.
- Attempting to generate, solicit, or distribute harmful, abusive, illegal, or inappropriate content.
- Circumventing content filtering, security measures, or usage limits.
9.1 Content Filtering & Guardrails
We implement automated content filtering and guardrails to detect and prevent abusive, harmful, or inappropriate content. The Services may:
- Block or filter requests that violate our policies or applicable laws.
- Refuse to respond to prompts deemed harmful, illegal, or abusive.
- Flag suspicious activity for review.
We reserve the right to block or suspend users violating this policy.
Anti-Discrimination Policy:
Our Services are designed to comply with applicable anti-discrimination laws, including the Equal Credit Opportunity Act (ECOA) where financing-related features are involved. You agree not to use search criteria, filters, or requests that discriminate based on race, color, religion, national origin, sex, marital status, age, or any other protected class. AI platform integrations include guardrails to prevent discriminatory requests.
9.2 Third-Party AI Platform Usage
When accessing Cara through third-party AI platforms (such as OpenAI ChatGPT):
You Acknowledge:
- Your use of AI platforms is subject to both our Terms AND the AI platform's terms.
- AI platforms may suggest or recommend Cara based on your conversation context.
- Vehicle search results are provided by Cara's servers, not generated by the AI platform.
- You must comply with the AI platform's usage policies when using Cara through their services.
Prohibited Uses via AI Platforms:
- Attempting to extract bulk vehicle data through repeated queries.
- Using automated tools to access Cara through AI platforms.
- Circumventing any rate limits or access controls.
- Attempting to use AI platform conversations to reconstruct our database.
Data Handling:
- Vehicle data displayed in AI platforms remains subject to our licensing terms.
- You may not redistribute, scrape, or commercially exploit vehicle listings accessed through AI platforms.
- Screenshots or exports of vehicle data are for personal, non-commercial use only.
Platform Compliance:
We comply with OpenAI's usage policies and app guidelines. Our integration is designed to protect user privacy, provide accurate and helpful vehicle information, and respect intellectual property rights of data providers.
10. Third-Party Links & Services
Our Services may contain links to third-party sites. We do not control or endorse third-party content, and we are not responsible for their privacy policies, security, or practices.
Use third-party services at your own risk.
11. SMS & Mobile Messaging Terms
If you opt into Cara's concierge service or other SMS-enabled features, you agree to the following:
11.1 Consent & Opt-In
By providing your mobile phone number and opting into the concierge service or SMS communications, you expressly consent to receive recurring text messages from Cara related to your active engagements. Messages may include deal updates, dealer responses, scheduling, and other transactional or informational communications. Messages may be sent using automated systems.
11.2 Message Frequency & Rates
Message frequency varies based on your active engagements and service usage. Standard message and data rates from your mobile carrier may apply. Cara does not charge separately for SMS messages.
11.3 Opt-Out
You may opt out of SMS communications at any time by replying STOP to any message from Cara, or by contacting us at team@microverselabs.com. You may continue to receive messages for a short period while we process your request. For help, reply HELP to any message.
11.4 Privacy
Your mobile phone number and SMS opt-in consent will not be shared with any third parties for marketing or promotional purposes. Any information shared on your behalf through the concierge service will be limited to the dealers and partners you choose, and will be for informational and transactional purposes only.
12. AI-Assisted Negotiation & Outreach
Cara may offer AI-assisted features for vehicle pricing analysis, negotiation support, and dealer outreach. By using these features, you agree to the following:
- AI-assisted negotiation and outreach tools are for individual, non-commercial use only.
- Cara may record inputs and outputs from AI-assisted features to improve functionality, data quality, and service accuracy.
- Pricing information, deal analysis, and negotiation suggestions provided by AI tools are informational estimates only and are not binding quotes or guarantees.
- You must independently verify all pricing, terms, and vehicle information with the dealer or seller before making any purchasing or financial decisions.
- Use of AI-assisted features by any company, dealer, or third party seeking to sell, market, or transact products or services is prohibited without prior written authorization from Microverse Labs.
13. Indemnification
You agree to indemnify and hold harmless Microverse Labs from any claims, damages, or legal fees arising from:
- Your misuse of the Services.
- Violations of these Terms.
- Any unauthorized access or security breaches related to your account.
- Any disputes, claims, or damages arising from vehicle transactions facilitated through the concierge service, including but not limited to vehicle condition, mechanical defects, pricing discrepancies, or dealer conduct.
14. Disclaimers & Limitations of Liability
14.1 No Warranties
The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that:
- The Services will always be available, uninterrupted, or error-free.
- The Services will meet your specific needs or expectations.
- AI-generated responses will be accurate, complete, or reliable.
- Data will be preserved without loss or corruption.
- The Services are free from bugs, errors, or security vulnerabilities.
14.2 AI-Generated Content Disclaimer
Our Services utilize artificial intelligence (AI) to provide vehicle recommendations, pricing information, and other guidance. You acknowledge and agree that:
- AI responses may contain errors, inaccuracies, or outdated information.
- The Services do not provide legal, financial, or professional advice. All guidance is informational only.
- Information provided about vehicles, pricing, financing, and dealerships is not a binding quote or guarantee.
- You are responsible for independently verifying all information before making any purchasing or financial decisions.
- We are not liable for decisions made based on AI-generated content or recommendations.
Certain AI-powered features may be designated as Beta Features under Section 2 of these Terms and may be subject to additional limitations during early access periods.
Always consult with qualified professionals (legal advisors, financial planners, automotive experts) before making significant decisions related to vehicle purchases, financing, or contracts.
Third-Party LLM Disclosure:
Cara uses third-party large language models (including, but not limited to, Anthropic Claude and OpenAI GPT) to power its conversational features. Your interactions with Cara may be processed by these third-party AI providers in accordance with their respective data handling policies. We do not provide your personal data, conversation history, or vehicle search behavior to these providers for the purpose of training their models.
Third-Party AI Platform Disclaimer:
When you access Cara through AI platforms like ChatGPT, responses are generated through a combination of our vehicle data and the AI platform's language processing. Neither Cara nor the AI platform guarantees:
- Complete accuracy of vehicle availability or pricing.
- That all relevant vehicles matching your criteria will be displayed.
- That natural language interpretation of your request is correct.
Always verify vehicle information directly with the seller before making any purchasing decisions.
14.3 Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- Indirect, incidental, special, or consequential damages.
- Loss of profits, business, data, or reputation.
- Unauthorized access to your data.
- Inaccurate AI responses or recommendations.
- Decisions made based on information provided by the Services.
Our total liability is limited to the greater of (a) the amount you paid for the Services in the past 12 months, or (b) one hundred U.S. dollars ($100).
14.4 Vehicle Data Accuracy
Vehicle listing information displayed through our Services is provided by third-party sources and is subject to the following limitations:
- Not Real-Time: Data may be delayed and not reflect current availability.
- Third-Party Sourced: We rely on dealers and data providers for accuracy.
- No Guarantee: We do not guarantee the accuracy, completeness, or reliability of any vehicle listing.
- Price Changes: Prices are subject to change without notice.
- Independent Verification Required: You must verify all information with the seller before purchase.
We are not a dealer and do not sell vehicles directly. All vehicle transactions are between you and the respective dealership or seller.
Dealer & Business Data Removal:
Vehicle listing data displayed through our Services is sourced from licensed third-party data providers. We do not scrape, crawl, or directly collect listing data from dealer websites. Dealerships or sellers who wish to have their listings removed from our Services may submit a request to team@microverselabs.com with the subject line "Data Removal Request." We will process valid requests within 5–10 business days. We are not liable for the continued availability of such data through our third-party data providers, other aggregators, or other platforms. Removal from our Services does not constitute an obligation to remove data from any third-party source.
15. Arbitration & Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any related matter shall be resolved exclusively through binding arbitration in the state of Georgia, under the rules of the American Arbitration Association (AAA).
- Arbitration shall be conducted in Atlanta, Georgia before a single arbitrator appointed in accordance with AAA's rules.
- You waive the right to bring any claims as a class action, collective action, or representative action against Microverse Labs.
- The arbitrator shall have the authority to award legal and equitable relief, but shall not have the authority to award punitive damages.
- Each party shall bear its own legal fees, except as required by law.
Exception for Injunctive Relief
Notwithstanding the above, Microverse Labs may bring claims for injunctive relief (e.g., intellectual property protection, fraud prevention) in the state or federal courts of Georgia, and you consent to the exclusive jurisdiction and venue of such courts.
16. Termination of Services
We reserve the right to suspend or terminate Services at any time, including but not limited to:
- Breach of these Terms.
- Violations of laws or regulations.
- Security risks or fraud.
Upon termination:
- Your access to the Services will cease.
- Certain obligations (e.g., confidentiality, intellectual property rights) will survive termination.
17. Governing Law
These Terms are governed by the laws of Georgia, without regard to conflicts of law principles.
If any provision is found invalid, the remaining Terms still apply.
